We are currently looking for a new member for the Legal Corporate team to join us in the position of Corporate Lawyer, Madrid.

Working Place: Sonae Sierra's Central Offices in Spain

Requirements:

  • Degree in Law with specialization in Commercial or Corporate Law
  • At least 5 years of experience as a qualified lawyer, preferably in the real estate sector
  • Previous experience in drafting and negotiating contracts
  • Fluent in English
  • Strong communication skills
  • Results oriented and team worker
  • Good analytical and organization skills

Responsibilities:

  • Provide legal counsel on corporate law, tax, and mergers & acquisitions matters within the in-house Legal Corporate Department.
  • Assist in drafting, reviewing, and negotiating a wide range of contracts, ensuring compliance with applicable laws and company policies. These agreements include but are not limited sale and purchase agreements of real estate assets, Shareholders' agreements, Service contracts such as property management agreements, asset management agreements, corporate services agreements, project management agreements and construction contracts.
  • Oversee the preparation and maintenance of Board and Shareholders' meeting minutes for Spanish entities, ensuring the proper approval of corporate resolutions and compliance with regulatory requirements.
  • Participate in and support the preparation of the necessary contracts for the development of all types of real estate projects, including the urban planning phase.
  • Provide legal support on various day-to-day matters, including data protection, regulatory compliance, and corporate governance.
  • Collaborate with internal teams and external advisors.
